      Dear Mr. Morgan:-
      1) The Canadian Niagara Co. will agree in writing to
      furnish me ten thousand H.P. for twenty years without charge, if I
      put up a plant there to transmit this power without wires to other
      parts of the world. My system permits the transmission to be ef-
      fected practically without loss. These people have great faith in
      me. Besides furnishing the power they will take financial inter-
      est in my enterprise. With this splendid start I hope to realize
      the project I submitted to you about a year and a half ago. As out-
      lined then, I would use the energy, not for industrial purposes,
      but for operating clocks, stock tickers and other apparatus, of
      which there are millions now in use. On the average I shall require
      not more than one tenth of one H.P. for each instrument. With ten
      thousand H.P. I shall be able to offer a great convenience to the
      whole world. I have calculated that with an investment
      of about half a million dollars from two to three millions can be
      easily earned per annum. To illustrate one of the features, I
      would start a manufacturing company there, which would simply turn
      out clocks. These instruments will be extremely cheap, having
      practically nothing but the hands and a couple of coils. They
      could be readily produced for two dollars, and sold for, say, ten.
      They will require no winding up, no attention at all and would in-
      dicate (absolutely correct time(underlined)). They would be adopted everywhere
      on land and sea.
      2) I have made preliminary arrangements for manufacture
      of some of my inventions with a good manufacturing concern. (this
      has nothing to do with the above.) They will produce and put to-
      gether all purely machine parts and I shall have only the electri-
      cal parts to make. This reduces the capital which I need to manu-
      facture to about one third.
      3) I am organizing an office in this City as Consulting
      Engineer for the two fold purpose of, of facilitating all my commer-
      cial undertakings and arranging a permanent income. I have so far
      never accepted a fee in my life. I am sure I can earn about fifty
      thousand dollars a year in this capacity.
      Now, Mr. Morgan I want a small capitol to put myself on
      an earning basis. Will you help me on any terms you choose and
      enable me to insure and develop a great property, which will ulti-
      mately yield hundredfold returns. Please do not do me an inju-
      stice in believing me incapable simply because a certain sum of
      money was not sufficient to carry out my undertaking. It is not my
      fault that prices have gone up, that there have been delays, that
      there is a panic. You may see that my work remains incompleted be-
      cause of lack of funds, but you will (never see(underlined)) that machinery

        not come in a hundred years. There has been a long and painful

        either one way or the other. Help me to complete this work or else
        remove the obstacles in my path.

          Gentlemen:
          Under the provisions of Section 38 of the Act of August 5th 1909, every corporation, joint stock company or association, insurance company organized for profit and having a capital stock represented by shares is required to make “on or before the first of March, nineteen hundred and ten, and the first day of March each year thereafter, a true and accurate return, under oath or affirmation, to the collector of internal revenue for the district in which such corporation, etc., joint stock companies or association, or insurance companies, aforesaid, shall refuse to make a return it the false or fraudulent return, such corporation, joint stodk company or association or insurance company shall be liable to a penalty of not less than one thousand dollars and not exceeding ten thousand dollars.

          All corporations in this district that failed to file their return to the office on or before March 1, 1913, for the calender year 1912 is to be reported to the UNITED States district attorney for his action.

          In this connection it is proper to invite your attention to the privilege afforded you by section 3229, Revised Statutes; to submit an offer in compromise of the liabilities. The offer must be voluntary on your part and the amount so offered must be determined by you and without suggestion or interference on the part of any revenue officer.

          Should you determine to take advantage of the provisions of the section -----, it will be necessary for you to deposit in this office the sum offered, accompanied with a written statement addressed to the Commissioner of the Internal Revenue shoring the ground on which you base your request for the compromise on your liabilities. Upon request of your proposition, accompanied by the amount of the offer, the same will be transmitted to the Commissioner of the Internal Revenue for his action thereon.

          I beg to acknowledge receipt of your letter of the 17th inst., and was sorry to see the enclosed notice regarding the income tax report of the Nikola Tesla Company.

          Under the circumstances it might be well to take advantage of the offer of a compromise as described in the last two paragraphs of the notice. As the Company is not taxable under this law, I should say that the offer of a small sum ought to be acceptable to the Tax Collector, and in this connection it might also be well to call his attention to the fact that a tax report, together with a letter giving reasons for the delay, were filed on May 12th, 1913. I hope that a fine of thousand dollars may thus be avoided.

          I am just now enjoying a short vacation.

                Mmm, not quite Michel...
                Your part is done , I still have 102 letters to go...
                I was wondering if you would stop after completing one micro film reel, but I see you have no such intention I never expected such devotion from just one person (I think I already said that once), but I did expect many more people to be slightly more helpful.
                It is SO easy to make a valuable contribution here but they rather go on discussing utterly impossible schemes and ludicrous theories, or just cluttering up threads with incoherent writings (preferably in large coloured fonts).
                This work here will be a monumental achievement 'of incalculable value' , helping thousands of future Tesla researchers.

                Do just one letter,... or two, maybe....
                But be a part of this!
                The fact mentioned by Michel, that you can easily raise the number of posts to your credit, is among the very least of what you will accomplish! One transcription added here and you have been more useful than some "platinum members" that I know.

                I have updated the Morgan 1-100 file.

                • Hi Ernst,

                  Yes, it is an easy way to get to know Nikola Tesla and his entourage too. The second part of the G Scherff email archive I think centers around Colorado Spring experiments instead of the New York lab. Some goodies there too as noise, fading, bad hand writing and whatever did their work on the scans. Sometimes it pays to read a few messages ahead as they comment or respond to the received mail content. I pretty much nailed the faded texts that way plus learning their vocabulary and phrasing is invaluable.

                  I saw a few sketches in Scherff (2) from the "Man" himself. Good luck...

                  When I started, I planned to do about 50 as I thought the help would come pouring in but got addicted to the Scherff - Tesla interaction and the alternative is sitting in front of the fireplace doing absolutely nothing.

                      I received in due course your letter of January 14th, enclosing blanks for income tax report for the past year.

                      I have written to Albany for blanks for the state tax report and I shall be obliged if you will forward to me when they arrive.

                      As regards the income tax report, I believe you told me that the Nikola Tesla Company had received some royalty under the agreement with Mr. Lowenstein. This income will have to be reported to the government and I beg to suggest that you obtain from Mr. Lowenstein a statement showing the entire amount of royalty that has become due under the contract with him until December 31st, 1913, and that a record thereof be made on the books of the company. If you will kindly furnish me the information and also let me know what expenses the Company has had during the past year I shall be in a position to prepare the tax report. You know no doubt that the new tax law inflicts severe punishment for failure to make the report, not only on the corporation but also makes its officers liable to fine and imprisonment.

                      There are several matters which I would like to discuss with you in this connection if you could manage to call when we can do better than through correspondence.

                      I have good news to tell you, namely, that I have perfected a couple of new inventions for which there is a great demand. I have not the slightest doubt that considerable money can be made out of them in a short time.

                      As to royalties, I really do not know that I have received any for I had to give a note for $750 which was so far as I recall, about all the money paid to me. I will take up the matter with Mr. Lowenstein and see what his books show.

                      I have been prostrated with a severe cold as a consequence of night work at the Edison Plant in connection with the turbine and was unable to attend to my correspondence.

                      While I cannot at this moment yet comply with your request, I have made wonderful progress in the development of my business which you will appreciate when I say that since I have seen you, I have closed my contract with Mr. Tiffany and have developed and practicaly demonstrated two new inventions of great value on which I am now getting patents.

                      The turbine has been installed and run with perfect success, showing very high economy but unfortunately we met a mishap on Friday last owing to the unscrewing of a nut on the shaft. This could not have possibly happened had the assembling being done right in accordance with my instructions but I can not make the manufacturer responsible as I had my own man in charge of the work.

                      As the matter now stands, I am anticipating to bring an important financial deal to a conclusion within the next ten days. The fine results I am getting with the turbine inspire me with perfect confidence in my success with this invention.

                      I have not yet had the opportunity to get together ith Mr. Lowenstein although he told me over the phone that he would furnish me with a statement. Just as soon as I receive the same from him I will communicate with you.

                        Immediately after I saw you this afternoon, I called my friends for a meeting, but regret exceedingly that I was unable to persuade them to accept the proposition. Their opinion was that there is practically no manufacturing industry in Mexico and that all machinery of this nature is imported from other countries, and that therefore it would be very difficult to do anything with this invention in Mexico.

                        I cannot tell you how much it grieves me to know you to be in these difficulties and that I am unable to be useful to so small an extent.

                        If none of your propositions concerning this invention should materialize immediately, would you have any objection to my making an effort to do something with it? If not, would you kindly let me know about how much cash you would expect, how much royalty per instrument and how much minimum royalty per year for an exclusive license in the United States. I should like very much to have an opportunity to make a trial.

                        The result confirms a belief I have had for a long time regarding the introduction of inventions, namely, that it is very difficult to interest people who are already making a great deal of money, unless the improvement happens to be in their line. I might be able to interest people who have not so much money, but who, on their hand, would work hard to make a success of the business. But in the best case this could not be done quickly and it would probably be useless to try, as you will no doubt have closed with the people with whom you are negotiating long before I should achieve results.
